Triple Vision Mobile Application

Please read these Terms of Service ("Agreement") carefully before using the Triple Vision mobile application ("App") offered by Triple Vision LLC ("Company," "we," or "us"). By using the App, you ("User" or "you") agree to be bound by this Agreement and our Privacy Policy. If you do not agree with any part of this Agreement or our Privacy Policy, please refrain from using the App.

1. Acceptance of Terms

By downloading, accessing, or using the App, you acknowledge and agree to be legally bound by this Agreement. This Agreement constitutes a legally binding contract between you and the Company. If you are using the App on behalf of an organization, you represent that you have the authority to bind the organization to this Agreement.

2. Scope of Services

The Triple Vision App may be accessed and used on compatible iOS devices through the Apple App Store. The App is a mobile application that provides users with a comprehensive Photography and Videography Suite designed to assist in creating stunning visuals for real estate listings. These suites includes the following features:

a. Storyboards: The App provides pre-designed storyboards that serve as a guide for capturing the perfect shots for your real estate listings. These storyboards suggest the types of photos and video clips to capture to help you showcase the property's best features.

b. Leveling Guides: The App offers leveling guides that assist you in achieving precise and balanced compositions. These guides ensure that your photos and videos are straight and visually appealing, enhancing the overall quality of your visuals.

c. Demo Videos: For users interested in videography, the Videography Suite provides demo videos that provide tutorials on different movement types. These videos demonstrate professional techniques for capturing dynamic and engaging clips of a home. By following the provided examples, users can create captivating real estate videos.

d. Automated Editing: Triple Vision's Suites include automated editing that eliminates the need for specialized software or post-production editing skills. The App's built-in editing tools help enhance the visual quality of your photos and videos, giving them a polished and professional look.

3. User Accounts

To access certain features of the App, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. License Grant and Restrictions

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your personal, non-commercial use. You may not use the App for any other purpose without the express written consent of the Company. You agree not to:

a. Modify, reverse engineer, decompile, or disassemble the App.

b. Circumvent, disable, or otherwise interfere with any security-related features of the App.

c. Use the App in any manner that could interfere with, disrupt, or negatively affect the performance or functionality of the App.

d. Use the App to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or other similar content.

e. Violate any applicable laws, rules, or regulations in connection with your use of the App.

5. Intellectual Property

The App, including its design, graphics, text, images, trademarks, logos, and other content, is owned by the Company or its licensors and is protected by intellectual property laws. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, or perform the App, except as expressly authorized by the Company.

6. User Content

You may have the opportunity to submit, post, or display content, including text, images, or other materials, through the App ("User Content"). By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for any purpose, in any media, now known or hereafter developed. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.

7. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your information are governed by our Privacy Policy, which is incorporated by reference into this Agreement. Please review our Privacy Policy to understand our practices.

8. Termination

The Company may, at its sole discretion, suspend or terminate your access to the App, in whole or in part, at any time and for any reason, without prior notice or liability. Upon termination, you must cease all use of the App and delete it from your device.

9. Disclaimer of Warranties

The App is provided "as is" and without any warranty or representation, whether express or implied. The Company does not warrant that the App will be error-free, uninterrupted, or free of viruses or other harmful components. Your use of the App is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the App.

11. Indemnification

You agree to indemnify, defend, and hold the Company and its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the App, your violation of this Agreement, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any dispute arising out of or relating to this Agreement or your use of the App shall be submitted to binding arbitration in accordance with the rules of a qualified arbitration institution before a single arbitrator. The arbitration shall take place in Santa Clara County. The language of the arbitration shall be conducted in English. The decision of the arbitrator shall be final and binding.

13. Miscellaneous

a. This Agreement constitutes the entire agreement between you and the Company regarding the App and supersedes all prior understandings or agreements, whether written or oral.

b. If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be deemed modified to the extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

c. The Company's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

d. This Agreement is not assignable, transferable, or sublicensable by you except with the Company's prior written consent.

e. The headings in this Agreement are for convenience only and shall not affect its interpretation.
